Eligibility To Use The Platform

You may use the platform if you:

Are at least 18 years old
Have legal authority to act on behalf of yourself or your organization
Provide accurate and complete registration information
Comply with applicable laws, procurement rules, and platform requirements
Use the platform only for lawful procurement, supplier, financing, consulting, or business purposes

Organizations, suppliers, financiers, consultants, and administrators must ensure that their representatives are authorized to access and use the platform.

User Accounts

To access certain features, you may be required to create an account. You are responsible for:

Keeping your login credentials confidential
Ensuring all account information is accurate and up to date
All activity carried out under your account
Notifying us immediately if you suspect unauthorized access
Ensuring users invited under your organization comply with these terms

Supplier Responsibilities

Suppliers using the platform are responsible for ensuring that:

Uploaded documents are valid, accurate, and legally obtained
Tender submissions are complete and submitted before deadlines
Bid prices, technical proposals, and financial proposals are accurate
Directors, ownership, compliance, tax, and registration details are properly declared
They do not submit misleading, fraudulent, or forged information

Strategic Sourcing Consult Limited may review, reject, suspend, or flag supplier profiles or documents where information appears incomplete, expired, inaccurate, or non-compliant.

Organization Responsibilities

Organizations using the platform are responsible for ensuring that:

Tender notices, requirements, deadlines, and evaluation criteria are accurate
Procurement activities follow applicable laws, policies, and internal procedures
Tender documents and addenda are complete and properly authorized
Bid evaluations, awards, contracts, and payment workflows are handled fairly
Team members use the platform according to approved permissions
Confidential supplier and bid information is handled appropriately

Organizations remain responsible for procurement decisions made through or outside the platform.

Tender And Bid Information

The platform may allow organizations to publish tenders and suppliers to submit bids. You understand and agree that:

Tender deadlines, requirements, and award decisions are controlled by the procuring organization
Suppliers are responsible for submitting bids before the stated deadline
Late, withdrawn, incomplete, or non-compliant bids may be rejected
Bid version history, withdrawal records, audit trails, and submission timestamps may be stored
Strategic Sourcing Consult Limited does not guarantee that any supplier will win a tender or that any organization will receive suitable bids

Document Uploads

Users may upload files including procurement documents, compliance documents, tender attachments, bid documents, contracts, invoices, receipts, and supporting evidence. By uploading documents, you confirm that:

You have the right to upload and share the documents
The documents are accurate and lawful
The documents do not contain malware, viruses, or harmful code
The documents do not infringe third-party rights
The documents comply with platform file type and size limits

We may restrict, remove, quarantine, or reject files that violate these terms or present a security risk.

Subscriptions, Plans, And Paid Services

Some features may be free, trial-based, subscription-based, or subject to usage limits.

Subscription plans may control access to tender creation limits, supplier onboarding limits, team seats, storage limits, report exports, payment workflows, finance requests, premium dashboards, and advisory or consulting support.

Fees, billing cycles, renewal terms, trial periods, and feature access may be shown on the pricing or subscription pages.

We may update pricing, features, or plan limits from time to time. Where required, we will provide reasonable notice of material changes.

Payments And Billing

Where paid services are used, you agree to:

Provide accurate billing information
Pay applicable fees when due
Comply with payment gateway, bank, or mobile money requirements
Be responsible for taxes, charges, or transaction costs where applicable
Notify us of billing disputes within a reasonable period

Certain documents, supplier profiles, organization profiles, tenders, awards, contracts, or finance-related activities may be subject to review or approval.

Review or approval by an administrator does not guarantee legal validity of uploaded documents, supplier performance, organization compliance, tender award outcomes, payment by an organization, or financing approval by a financier.

Users remain responsible for independent verification and compliance decisions.

Intellectual Property

The platform, website design, software, branding, logos, content, workflows, databases, reports, and materials owned or licensed by Strategic Sourcing Consult Limited are protected by intellectual property laws.

You may not copy, reproduce, modify, distribute, sell, or exploit our platform content or technology without written permission.

You retain ownership of documents and content you upload, but you grant us permission to store, process, display, transmit, and use such content as necessary to provide the platform and services.

Users should seek independent legal, financial, procurement, tax, or compliance advice where necessary.

Limitation Of Liability

To the maximum extent permitted by law, Strategic Sourcing Consult Limited shall not be liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages arising from use of the platform.

This includes losses related to missed tender deadlines, failed bid submissions caused by user error, incorrect user information, unauthorized account access due to user negligence, third-party service failures, procurement decisions, supplier performance failures, and payment or financing disputes between users.

Indemnity

You agree to indemnify and hold Strategic Sourcing Consult Limited harmless from claims, losses, liabilities, damages, costs, or expenses arising from:

Your misuse of the platform
Your breach of these terms
False or misleading information you submit
Your violation of laws or third-party rights
Disputes involving your organization, suppliers, financiers, or other users

Suspension And Termination

We may suspend, restrict, or terminate access if you breach these terms, provide false or fraudulent information, fail to pay applicable fees, create a security, legal, or compliance risk, misuse platform workflows, fail required verification, or if we are required to do so by law or competent authority.

These Terms of Use are governed by the laws of Uganda, unless otherwise required by applicable law.

Any disputes shall first be handled through good-faith discussions. Where resolution is not possible, disputes may be referred to the appropriate courts or dispute resolution bodies in Uganda.
